Townsville Rodders & Custom Car Club Inc.

By-Laws

  1. The name of the club shall be: "Townsville Rodders & Custom Car Club Inc." herein referred to as the Club.
     
  2. Membership shall be open to all Australian Street Rod Federation (ASRF) members and special vehicle enthusiasts as voted on by Club members. Prospective members must attend two (2) Club meetings and a vote shall be undertaken on the third Club meeting on whether the prospective member is accepted as a member. Should any member fail to attend three consecutive meetings without informing a member of the Committee, the member shall be considered as no longer holding membership to the Club. (This requirement does not apply to out of town members as defined in Clause 15).
     
  3. The aim of the Club is to foster good relations with relevant authorities and to promote friendship between owners and enthusiasts of Street Rod and Special Interest Vehicles and to promote goodwill in the community.
     
  4. Meetings will be held on the first Tuesday of the month at 7.30pm. The A.G.M. will be held in July and fees will be due and payable at that time. The fee will be reviewed annually prior to the A.G.M. On joining the Club an A.S.R.F. Membership is applicable. Club books and records are to be audited before the A.G.M. by two selected Club members.
     
  5. Members can be expelled or suspended for actions contrary to the Club's interest. Members threatened with suspension have the right to appeal to the members at the next meeting. Committee members, being President, Secretary, Treasurer or a Club member shall not be held responsible financially or morally for the Club or members actions.
     
  6. A minimum committee shall consist on the President, Secretary, Treasurer and a committee member. Other positions will be created and filled when required for whatever term of office.
     
  7. For a motion to be carried, 75% of the members present at a meeting must be in favour of the motion. The results of the motion are to be accurately recorded.
     
  8. A quorum for a meeting must be made up of seven (7) members. Should the Club membership drop below five (5) fully paid up members, the Club is to be disbanded and remaining monies, after all accounts have been paid, shall pass to a non-profit organisation. Dissolution Clause: "In the event of the Club being dissolved, the amount which remains after such dissolution and the satisfaction of all debts and liabilities, shall be paid and applied by the committee in accordance with their powers to any fund, institution or authority which is a non-profit organisation".
     
  9. Non Profit Clause: The assets and income of the Club shall be applied solely in furtherance of its objectives and no portion shall be distributed directly or indirectly to the members of the Club except:
    * As a bona fide compensation for services rendered or expenses incurred on behalf of the Club.
    *Other expenses incurred by a member that is deemed by a majority of members as an expense incurred in the furtherance of the objectives of the Club.
     
  10. The Club's bank will be the National Australia Bank, Castletown Shopping World, Woolcock Street, Hyde Park. Signatures for the bank account will be President, Secretary and Treasurer. However, any two (2) executives will be required to sign co-jointly.
     
  11. Proposed amendments to the Constitution are to be advised in writing (by way of a Club newsletter) at least two months prior to the meeting when said changes are to be made. All members are to be advised in writing of the proposed amendments and the meeting date when the amendments are to be voted upon.
     
  12. Deleted.
     
  13. Potential members shall be made aware of the Club's objectives and rules.
     
  14. All members of the Club are required to contribute to the furtherance of the objectives of the Club.
     
  15. A person who resides further than 50 klms from Townsville can apply for special membership. Such applicants will be assessed on merit, however such prospective applicants are to attend one meeting and at least one Club social event.
